National Single Family Renovation Company

Nuclear Medicine Company – Under LOI and Exclusivity

SUCCESSFULLY COMPLETED TRANSACTIONS

National Manufacturing and Distribution Company – sold this company to the industry leader resulting in a premium price for the seller and substantial market share capture and economies of scale for the buyer.  
National Medical Device Company – this company had been floundering with a nationally branded business broker for over two years without success.  Sold this company to a large international medical device company out of France. 
Autism Company – this one was particularly challenging because the wonderful founders would only sell to a company that would continue their Christian curriculum.  That took out most buyers and resulted in an eleven-month sales effort instead of our standard five-month sales process. Ultimately a Christian buyer in pediatric care was identified and a very successful sale was consummated.
IT Communications Company – this one was sold to a 44B private equity group conducting a rollup. Our Fortune 500 experience aligned extremely well with this buyer and their 150-topic due diligence listing.  
Regional Plumbing Company – we identified the perfect fit buyer for this one. The buyer achieved the geographic footprint expansion they were seeking and the seller achieved a premium of 20% over their desired sales price.  The buyer presented an 18-page thorough, articulate LOI which aligned perfectly with our firm’s strategy of putting “Intent” back into a Letter of Intent.
Healthcare Staffing Company – three wonderful therapists developed a company doing 60,000 visits per year. They were in possession of an unsolicited LOI for $2,400,000 when we met. Our first question was “why are you selling your company for less than half of what it was worth?” They had no idea what it was worth and after working through over 50 buyers and a bidding war the final offers were for $7,400,000 and $7,000,000.
IT Managed Services Company – we performed on the buy side on this one which dissuaded us from offering buy side services going forward.  It gave us a sense for what it is like to have to deal with “business brokers” instead of M&A Advisors. We met our clients needs and assisted two high quality professionals with their escape path from Corporate America.
Specialty Retail Group – we typically do not participate in the retail sector but this company had developed an iconic brand that was on everything from shirts to beer. We took it because we knew it would be fun and it was. We found the perfect buyers and the transaction process was like working with a group of four longtime friends.

Your Journey Through Our 150-Day, 10-Stage Transaction Process

At ECP Ventures, selling your business is not just a transaction—it’s a pivotal moment in your journey. We firmly believe that we can sell any high quality company in 150 days. Our definitive streamlined 10-stage process ensures you're guided with expertise, empathy, and unwavering dedication.

ECP’s definition of a successful transaction is one where the Buyer and Seller would do it again three years later.

Day 1: Client Discovery Meeting

The process begins with an in-depth discovery meeting where we take the time to understand your goals, concerns, and vision. This foundational conversation ensures that the strategy we develop is fully aligned with your business objectives and personal goals.

Day 5: Client Evaluation & Listing Agreement Execution

Once we’ve gathered initial information, we proceed with a thorough sell side due diligence to determine if you and your business are a great fit for ECP.  We only accept client company’s that we can take to market with pride, dignity and confidence.  If we have a great match we execute our short-form listing agreement. This process ensures transparency and clear alignment on both sides regarding commitments and expectations.

Day 19: Client Provides Source Data for Offering

At this stage, we work closely with you to gather all the necessary data to create a compelling business profile. This includes financial, operational and procedural information required to create a very clear and strong value conveyance to potential buyers.  This stage requires commitment, diligence and hard work by our clients.

Day 40: ECP Completes Confidential Offering Materials

ECP Ventures works interactively with our clients to prepare confidential offering materials that highlights and showcases your business’s accomplishments, strengths, market position, and growth potential. These materials are designed to attract serious, qualified buyers.

Day 61: Market Introduction and Buyer Qualifications Completed

We strongly recommend conducting a full market (national) offering.  This includes listing your company on the national listing systems as well as directly contacting high quality buyers that ECP already has an existing working relationship with. Our process has achieved an average of 75+ buyers expressing interest per ECP offering. We will diligently evaluate all prospective buyers and narrow the list down to the 20 most viable buyers.

Day 82: Buyer Negotiations and LOI Submissions

As buyer interest builds, we manage all negotiations and guide potential buyers through submitting Letters of Intent (LOIs). Our role is to advocate for your best interests to ensure that the offers you receive are competitive and aligned with your long-term objectives.  We strive to put intent (all key deal points) in the final Letter of Intent.  We purposely structure all deal points prior to engaging the attorney’s.  

Day 89: Client Completes Offer Evaluation and Executes LOI

We never recommend a specific offer. This stage is completely about you and your objectives. We work diligently with you to evaluate and compare each offer so that you can make a fully informed decision. Once you have made your decision we facilitate the dual execution of the successful LOI.

Day 119: ECP Manages Due Diligence & Legal Process

We facilitate the due diligence process using a secure digital data room, ensuring buyers have all the necessary documents and information. Our team manages this process to maintain momentum and address all buyer inquiries efficiently. We require a transparent full open books and records approach to due diligence.

Day 149: Negotiate Legal Terms and Execute Legal Documents

We work closely with your legal team to negotiate and finalize all legal terms and conditions of the agreement. Our focus is on protecting your interests while ensuring the transaction proceeds smoothly to closing.

Day 150: Transaction Closing and Funding

The final stage involves the successful completion of the transaction and the transfer of funds. Unlike traditional brokers, we don't "flip" companies for quick fees. 3. Do you charge upfront fees?
No, we do not charge any upfront fees. Our success-based model ensures that we only get paid when you do, upon the successful completion of the transaction
4. What is aN "tail provision," and do you have one?
An tail provision is a standard industry clause that requires sellers to pay a broker even though they failed to sell your company and their listing agreement expired. They still require payment after listing expiration if your business is sold to a buyer they introduced your company to. At ECP Ventures, we do not use tail provisions as we believe they are unethical. Since we believe we can sell any company in 150 days we only offer a one year (Performance Year) term listing agreement with no tail.

8. How do I know if it’s the right time to sell my business?
The right time to sell depends 100% on you and your personal and financial goals, as well as current market conditions. We can help you assess the market conditions and your company’s readiness for an offering. As technical M&A Advisors our role is to put you in a position to make a fully informed decision that is in your best interests.
9. Do I need to prepare my business before selling?
Yes, preparing your business before selling is crucial to ensure you receive the best offers. This includes cleaning up your financials, understanding your balance sheets, and creating a strong business profile. We will guide you through this process.
10. Would I need to sell my entire company?
No.  Every transaction is designed to meet the specific needs of our sellers. Some want to sell everything and some prefer to only sell at portion at this time. They may want to take some cash out now and benefit again later from future successes. Others choose to sell a portion to join a larger more robust company. There are also situations where one or more owners wants to sell and others do not so only those desiring to exit sell.
